SERVICE AGREEMENT: AI VOICE AGENT DEPLOYMENT
THIS AGREEMENT is made this [DATE] by and between:
PROVIDER: DigitalIntel Marketing ("Agency")
CLIENT: [CLIENT COMPANY NAME] ("Client")
1. SERVICES PROVIDED
Agency agrees to deploy and maintain a custom AI Voice Receptionist ("The Agent") for Client.
1.1. SETUP & CONFIGURATION
- Custom prompt engineering and knowledge base setup.
- Voice selection and calibration (English/Spanish).
- Integration with Client's phone system (Call Forwarding).
- Integration with Client's calendar/CRM (if applicable).
1.2. MONTHLY MAINTENANCE
- Hosting and server maintenance of The Agent.
- Access to the DigitalIntel Client Portal.
- Ongoing prompt refinement (up to 2 revisions/month).
2. FEES & PAYMENT
2.1. ONE-TIME SETUP FEE
Client agrees to pay a non-refundable Setup Fee of $[AMOUNT] (e.g., $997.00) prior to work commencing.
2.2. MONTHLY RETAINER
Client agrees to a monthly recurring fee of $[AMOUNT] (e.g., $297.00), payable on the 1st of each month.
2.3. USAGE LIMITS ("FAIR USE")
The Monthly Retainer includes [MINUTES] minutes of talk time per month.
- Overage Rate: Usage exceeding this limit will be billed at $0.25 per minute.
- Unused minutes do not roll over to the next month.
3. CLIENT RESPONSIBILITIES
- Client must provide accurate business information (hours, FAQs, services) for the Knowledge Base.
- Client is responsible for enabling "Call Forwarding" on their existing phone carrier to the dedicated AI number provided by Agency.
4. DISCLAIMER & LIABILITY
- The Agent is an Artificial Intelligence system. While highly advanced, it may occasionally misunderstand queries or provide imperfect responses. Agency is not liable for lost business, missed appointments, or errors made by The Agent.
- Client acknowledges that The Agent is a tool to assist, not replace, human judgment for critical matters.
5. TERM & TERMINATION
- This Agreement is month-to-month.
- Client may cancel with 30 days' written notice.
- Upon termination, The Agent will be deactivated, and the dedicated phone number released.
6. CONFIDENTIALITY
Agency agrees to keep all Client customer data (call logs, recordings) confidential and secure, in compliance with standard privacy practices.
